TEHAMA – FEES AND PAYMENT TERMS
Fees for the Platform include, without limitation, onboarding fees, Subscription Plan fees, consumption fees and any other applicable fees. Onboarding Fees, Subscription Plan Fees and support Fees are paid in advance. Consumption Fees are billed in arrears. Other Fees may apply as identified in the relevant invoice. If you as an Organization subscribe to the Platform after a billing cycle has started, Subscription Plan Fees will be prorated for the first month only. Pythian will invoice you on a monthly basis and you will pay Pythian the applicable Fees within 30 days from receipt of invoice through any of the payment methods indicated in the Order Form or on the Site. Payments by credit card may be subject to additional terms and conditions, as made available on the Site. All amounts payable under this Agreement will be made without setoff or counterclaim, and without any deduction or withholding. Pythian may increase or add new fees for the Platform by giving you at least 30 days’ advance notice. Pythian may charge you interest at the rate of 1.5% per month (or the highest rate permitted by law, if less) on all late payments. Pythian does not warrant that a particular Subscription Plan will be offered indefinitely and reserves the right to change the Fees for or alter the features and options of a particular Subscription Plan or the Platform without notice. Except as expressly provided in this Agreement, payments you make are non-refundable.
